By accessing or using Riverbend Live (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in their entirety, you may not access or use the Service. These Terms constitute a binding legal agreement between you and Riverbend Live. Last updated: May 2026.
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
Riverbend Live is a live streaming platform that allows registered producers to create events, stream video via RTMP to our infrastructure (powered by Wowza Video), and engage audiences with real-time chat, Q&A, polls, and floating emoji reactions. Viewers may watch public events without an account. Producers must register and accept these Terms to use streaming features.
You agree not to use the Service to:
We reserve the right to determine, in our sole discretion, whether any content or conduct violates these policies and to take appropriate action, including removal of content and termination of accounts.
As a producer, you are solely responsible for all content you stream, publish, or otherwise make available through the Service. You represent and warrant that:
You acknowledge that Riverbend Live acts solely as a technology platform and is not responsible for the content of your streams.
The Riverbend Live platform, including its design, code, branding, and documentation, is owned by Riverbend Live and is protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
Your content remains yours. By streaming or uploading content to the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to transmit, display, cache, and deliver your content solely for the purpose of providing the Service to you and your viewers. This license terminates when you delete the content or close your account.
Personal Use Only. Pay-per-view (“PPV”) content and any other content accessed through the Service are provided for your personal, non-commercial, residential use only. Each purchase grants a limited, personal, non-transferable, revocable, non-exclusive, and non-sublicensable right to stream the purchased content on a single device at a time.
Commercial Venue Prohibition. You may not display, exhibit, or otherwise make available any content purchased through the Service in any commercial establishment or area open to the public, including but not limited to bars, restaurants, lounges, stadiums, clubs, theaters, gyms, hotels, casinos, or similar venues. You may not charge admission or any fee for viewing content purchased through the Service, nor may you use purchased content to promote commercial activity (for example, by attracting patrons to a business establishment).
Commercial Venue Licensing. Commercial venues seeking to display content must purchase a Commercial Venue ticket type where offered by the producer, or obtain a separate commercial license. For commercial licensing inquiries, contact licensing@riverbendmedia.com.
Certification. By completing a purchase of any “Single Viewer” or “Watch Party” ticket, you certify that the content will be viewed exclusively in a private, non-commercial setting and will not be displayed in any commercial establishment or area open to the public.
Enforcement & Remedies. Unauthorized commercial exhibition or public performance of content may subject the violator to civil liability and criminal prosecution under applicable federal and state law, including but not limited to 47 U.S.C. § 605. Remedies may include statutory damages of up to $10,000 per violation, enhanced damages of up to $100,000 for willful violations, and recovery of attorney fees. Riverbend Live reserves the right to suspend or terminate any account, revoke access, and pursue all available legal remedies against any person or entity that violates this section.
Platform Fee. Riverbend Live charges a platform fee of 15% on gross revenue from monetized streaming transactions (pay-per-view purchases and paid subscriptions) processed through the Service. Physical or in-venue (“gate”) ticket sales, where offered, are subject to a 10% platform fee. The applicable platform fee is deducted automatically before funds are paid out to you. Paid pay-per-view ticket types are subject to a minimum price of $5.
Referred Accounts. All producers, whether organic or acquired through our creator affiliate program, are charged the same standard 15% platform fee. If your account was acquired through the affiliate program, the referrer earns a 5% commission on your gross transactions for 12 months from your first transaction. This referrer commission is paid by Riverbend Live out of its own platform fee and is not an additional charge to you. The affiliate program may not be generally available in all regions or at all times; this provision governs whenever it applies to your account.
Payment Processing. Payments are processed by our third-party payment processor, Stripe, through Stripe Connect. Stripe’s standard processing fees (currently 2.9% + $0.30 per transaction, set by Stripe and subject to change) are charged separately from and in addition to the Riverbend Live platform fee and are your responsibility. Your use of payment features is also subject to the Stripe Connected Account Agreement.
Payouts. Payouts are remitted to the connected Stripe account you designate. You are responsible for completing Stripe onboarding, identity verification, and providing accurate banking and tax information. Payout timing, holds, and reserves are governed by Stripe. We are not responsible for delays, holds, or failures caused by Stripe or by inaccurate information you provide.
Subscription Plans. Producer subscription plans (Starter $0, Creator $79/month, Professional $169/month, and custom Enterprise pricing) are billed in advance on a recurring monthly basis until cancelled. Plan fees are non-refundable except where required by law. Cancellation stops future renewals but does not refund the current billing period.
Add-Ons. Optional add-ons are billed separately from your plan and from the platform fee, on every plan. Live AI Translation is offered in three viewer-capacity tiers, billed per event: Translation Lite ( $25 enable + $25/translation-hour, up to 250 concurrent viewers), Translation Pro ( $50 + $75/translation-hour, up to 1,000), and Translation Scale ( $150 + $150/translation-hour, up to 2,500). A “translation-hour” is one hour of translation in one direction to one destination language. Events above 2,500 concurrent viewers are custom-quoted. The Bonding Router hardware unit is $400 one-time. No subscription plan includes free add-on usage.
Refunds & Chargebacks. Refunds to viewers are at the producer’s discretion unless required by law. You are responsible for chargebacks, disputes, and any associated fees arising from your transactions, and we may deduct such amounts from your balance or future payouts.
Taxes. You are solely responsible for determining, collecting, reporting, and remitting all taxes arising from your use of the Service and your transactions, except where we are required by law to collect and remit on your behalf.
Changes to Fees. We may change platform fees, plan prices, or add-on pricing on a going-forward basis with reasonable advance notice (for example, by posting updated pricing or notifying you). Fee changes do not apply retroactively to completed transactions. Continued use of the Service after a change takes effect constitutes acceptance of the revised fees.
Custom & Enterprise Agreements. Enterprise or other individually negotiated agreements may set different fees, which control over this Section to the extent of any conflict.
We may suspend or permanently terminate your account at any time, with or without notice, if we determine in our sole discretion that you have violated these Terms or that your use of the Service poses a risk to other users, third parties, or our infrastructure.
You may close your account at any time by contacting support@riverbendmedia.com. Upon closure, your account data will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will do so, including Sections 6 (Intellectual Property), 7 (Pay-Per-View & Commercial Viewing), 8 (Fees & Payouts), 10 (Disclaimers), 11 (Limitation of Liability), and 12 (Governing Law).
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We make no guarantees regarding stream uptime, encoding quality, recording availability, or the availability of specific features at any given time. Streaming infrastructure is subject to the terms and availability of our third-party providers, including Wowza Video.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIVERBEND LIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all cases, our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees you paid us in the three-month period immediately preceding the claim, or (b) fifty US dollars ($50).
These Terms and any disputes arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
